These Terms govern your use of Primo Rewards. By enrolling your shop or using our platform, you agree to these Terms. Please read them carefully.

2. Eligibility and Account

To enroll as a Merchant you must be at least 18 years old, be a legal resident or registered business entity in India, provide accurate and complete information during enrollment, and have a valid mobile number and email address.

30-day free trial. All plans include a 30-day free trial. No payment is collected during the trial period. Your subscription begins automatically after the trial unless cancelled.
Setup fee. A one-time setup fee structure is maintained and may be introduced in future. Currently the setup fee is ₹0 for all plans. You will be given advance notice of at least 30 days before any setup fee is charged to new enrollments.

All plans include a 30-day free trial. After the trial, monthly fees are billed automatically via Razorpay subscription. All prices are in Indian Rupees (INR) and exclude applicable GST (18%).

4. Cancellation and Termination

4.1 Cancellation by Merchant

You may cancel your subscription at any time by contacting us at support@primorewards.in. Upon cancellation, your Shop Page is immediately suspended and all data is retained for 90 days.

4.2 Termination by Primo Rewards

We reserve the right to suspend or terminate your account immediately, without notice, if you violate these Terms, use the platform for fraudulent or illegal purposes, or attempt to circumvent our payment or security controls.

5. Merchant Responsibilities

As a Merchant, you agree to honour the reward promises shown to Customers, only stamp cards for genuine purchases, obtain appropriate consent from Customers before enrolling their data, and comply with all applicable Indian laws.

Merchants are solely responsible for their relationship with their Customers. Primo Rewards is a technology platform — we are not a party to any transaction between you and your customers.

6. Acceptable Use

You may not use the Platform to sell or sublicense access, reverse-engineer our software, attempt to gain unauthorised access to our systems, upload malicious code, operate more shop locations than your plan allows, or misrepresent your identity to Customers.

7. Intellectual Property

All software, design, trademarks, and content on the Platform are owned by or licensed to Primo Rewards. You retain ownership of your business data and grant us a limited licence to process and display it solely for operating your loyalty program.

8. Limitation of Liability

Our total cumulative liability to you shall not exceed the total fees paid by you in the 3 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

9. Dispute Resolution

Disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act 1996 (as amended), with the seat of arbitration in Mumbai, Maharashtra.

10. Changes to These Terms

We will notify active Merchants of material changes via email at least 14 days before they take effect.
